1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Harbor Health Solutions LLC ("Company," "we," "us," or "our") governing your access to and use of Desk Daddy ("the App"), including the website at deskdaddy.ai, mobile applications, and all related services.

By creating an account or using Desk Daddy, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the App.

2. Description of Service

Desk Daddy is an AI-powered productivity platform that provides email management, calendar scheduling, task organization, and AI assistant capabilities. The App may integrate with third-party services such as Google Workspace to deliver its functionality.

3. Account Registration

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must be at least 13 years of age to use the App.
  • You must notify us immediately of any unauthorized use of your account by contacting support@deskdaddy.ai.

4. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to the App, other accounts, or related systems.
  • Interfere with or disrupt the integrity or performance of the App.
  • Reverse engineer, decompile, or disassemble any aspect of the App.
  • Use the App to transmit malware, spam, or other harmful content.
  • Reproduce, duplicate, sell, resell, or exploit any portion of the App without express written permission.
  • Use automated means (bots, scrapers) to access the App except through our published APIs.
  • Misrepresent your identity or impersonate any person or entity.

5. Third-Party Integrations

Desk Daddy may allow you to connect third-party services (e.g., Google Gmail, Google Calendar). By connecting these services:

  • You authorize us to access and process data from those services as necessary to provide our features.
  • You acknowledge that your use of third-party services is subject to their respective terms and privacy policies.
  • You may revoke access to connected services at any time through the App settings or the third-party service directly.
  • We are not responsible for the availability, accuracy, or content of third-party services.

6. AI-Powered Features

Desk Daddy includes AI-powered features such as an AI assistant, smart suggestions, and automated workflows. By using these features, you acknowledge that:

  • AI-generated content is provided for informational and productivity purposes and may not always be accurate.
  • You are responsible for reviewing and verifying AI-generated content before relying on it.
  • AI features may be updated, modified, or discontinued at our discretion.
  • You should not submit sensitive personal information (e.g., Social Security numbers, medical records) to AI features unless explicitly supported.

7. Intellectual Property

  • The App, including its design, features, code, and content, is owned by Harbor Health Solutions LLC and is protected by intellectual property laws.
  • You retain ownership of the content you create and upload to the App. By using the App, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing and improving our services.
  • You may not use our trademarks, logos, or branding without prior written consent.

8. Subscription and Payments

Certain features of Desk Daddy may require a paid subscription. If applicable:

  • Subscription fees are billed in advance on a recurring basis (monthly or annually).
  • All fees are non-refundable except as required by law or as stated in our refund policy.
  • We reserve the right to change pricing with reasonable notice.
  • Your subscription will automatically renew unless cancelled before the renewal date.
  • You may cancel your subscription at any time through the App settings.

9. Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HARBOR HEALTH SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Harbor Health Solutions LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the App or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State in which Harbor Health Solutions LLC is organized, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Your continued use of the App after such changes constitutes your acceptance of the revised Terms.
